Acceptance of Terms

By accessing or using MarketAnalyzer Pro (the "Service"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully. If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User") and MarketAnalyzer Pro ("we," "us," "our"). By creating an account or otherwise accessing the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

Your continued use of the Service following any posted changes constitutes your acceptance of those changes.

Paper Trading — No Real Money Is Ever Involved

MarketAnalyzer Pro is a paper trading simulator designed exclusively for educational purposes. The Service provides a simulated environment to practice trading strategies using virtual currency.

• No real money: The Service does not involve, accept, hold, process, or transmit real money of any kind. No real currency is deposited, invested, or at risk at any time.
• No real trades: All buy and sell orders are entirely simulated. No orders are placed on any real stock exchange, brokerage, or trading platform.
• Virtual currency only: Users receive a starting virtual balance of $100,000 in simulated currency. This balance has no monetary value and cannot be withdrawn, redeemed, or converted into real money or any asset of value.
• Not a financial institution: MarketAnalyzer Pro is not a brokerage, investment adviser, exchange, bank, or financial institution. We are not registered with the SEC, FINRA, or any financial regulatory authority.
• Simulated results only: Gains and losses displayed in the Service are entirely simulated and bear no representation or guarantee of real-world investment performance.

Not Financial Advice

All content, tools, analysis, signals, risk scores, market data, news summaries, AI-generated insights, and any other information provided through the Service are for educational and informational purposes only. Nothing constitutes or should be construed as:

• Financial or investment advice of any kind
• A recommendation to buy, sell, hold, or trade any security or asset
• A solicitation or offer to buy or sell any security
• Legal, tax, or accounting advice
• A prediction or guarantee of future market performance

MarketAnalyzer Pro is not a registered investment adviser, broker-dealer, financial planner, or fiduciary. Users make all investment decisions independently and are solely responsible for any real-world financial decisions they make. We expressly disclaim all liability for investment decisions made, or losses suffered, in reliance on any content available through the Service.

AI-generated risk scores, buy/sell signals, and market analysis are experimental algorithmic outputs for educational demonstration only. They may be inaccurate, incomplete, or misleading and are not personalized financial advice.

Eligibility — You Must Be 18 or Older

To use MarketAnalyzer Pro, you must meet all of the following requirements:

• Age: You must be at least 18 years of age. The Service involves financial simulation, market analysis, AI-generated risk content, and material designed for adults. We do not permit use by anyone under 18.
• Legal capacity: You must have full legal capacity to enter into a binding contract under the laws of your jurisdiction.
• Jurisdictional compliance: You must not be located in a jurisdiction where use of the Service is prohibited by applicable law or regulation.
• Non-restricted status: You must not appear on any government sanctions or export control list that would prohibit you from receiving services from a U.S.-based company.

By using the Service, you represent and warrant that you satisfy all eligibility requirements. We reserve the right to terminate any account we reasonably believe is held by someone who does not meet these requirements, without notice and without refund.

User Accounts

Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update it as needed.

Account Security

You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account, whether or not authorized by you
• Immediately notifying us at support@marketanalyzerpro.com of any unauthorized account use or security breach

We will not be liable for any loss or damage arising from your failure to protect your credentials. We will never ask for your password via email or in-app messages.

One Account Per User

Each person may maintain only one active account. Creating multiple accounts to reset virtual balances, circumvent restrictions, or abuse promotions is prohibited and grounds for immediate termination of all associated accounts.

Acceptable Use Policy

You agree to use the Service only for lawful purposes consistent with these Terms. The following are strictly prohibited:

Technical Abuse

• Scraping, crawling, or systematically extracting data using automated tools without written permission
• Reverse-engineering, decompiling, or attempting to derive the source code or algorithms of any part of the Service
• Making requests at rates that degrade performance or availability for other users
• Attempting to bypass, disable, or circumvent security features, access controls, or authentication
• Introducing viruses, malware, or any harmful code
• Conducting denial-of-service attacks or interfering with network infrastructure

Account and Platform Abuse

• Creating multiple accounts to reset virtual balances, bypass restrictions, or exploit promotional offers
• Exploiting bugs or glitches in the simulation engine to gain unfair advantages
• Impersonating MarketAnalyzer Pro, our employees, or any other person or entity
• Sharing account credentials or allowing third parties to use your account

Legal Violations

• Using the Service for any purpose that violates applicable local, state, federal, or international law
• Violating the intellectual property rights of third parties
• Collecting personal information of other users without their consent

Violation of this policy may result in immediate suspension or permanent termination, without notice and without refund.

Market Data Disclaimer

Market data displayed within the Service is sourced from third-party providers including Finnhub and Twelve Data. This data is provided for informational and educational purposes within a simulated trading context only.

We make no warranty regarding the accuracy, completeness, reliability, or timeliness of market data. We are not responsible for:

• Inaccurate, incorrect, delayed, or missing price data
• Data errors, gaps, or outages caused by third-party providers
• Discrepancies between data on the Service and actual real-world market prices
• Any real-world investment decisions made based on data or signals viewed on the Service
• Provider API failures, rate limiting, or service interruptions

Intellectual Property

Our Ownership

MarketAnalyzer Pro and all of its content, features, and functionality — including the MarketAnalyzer Pro name, logo, brand identity, visual design, user interface, source code, algorithms, trading simulation engine, AI risk scoring system, and all written content — are owned by or exclusively licensed to MarketAnalyzer Pro and are protected by U.S. and international copyright, trademark, trade secret, and other intellectual property laws.

Limited License to Use

We grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to access and use the Service solely for personal, non-commercial, educational purposes. This license does not include any right to:

• Copy, reproduce, republish, or distribute any part of the Service
• Create derivative works based on the Service or its content
• Use the MarketAnalyzer Pro name, logo, or brand marks without prior written consent
• Sell, resell, sublicense, or commercially exploit the Service or access to it
• Remove, alter, or obscure any copyright, trademark, or proprietary rights notice
• Use the Service's design, interface, or code as the basis for a competing product

Purchases & Refund Policy

Payment Processing

Paid features are purchased through Gumroad, our third-party payment processor. We do not collect or store your payment information — all payment data is handled by Gumroad in accordance with their terms and privacy policy.

30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee on all purchases. If you are dissatisfied for any reason within 30 days of your original purchase date, you may request a full refund.

Refund Limitations

• 30-day window: Requests submitted more than 30 days after purchase are not eligible, except where required by applicable law.
• Maximum refund amount: The maximum refund is limited to the amount you paid — currently capped at $25.00 USD (the purchase price). This cap applies to all claims.
• No refund for virtual assets: Virtual balances, trading history, and portfolio data have no monetary value and are never refundable.
• Chargebacks: Initiating a chargeback with your bank outside of our process may result in immediate permanent account termination. Contact us first.
• Terminated accounts: Accounts terminated for Terms violations are not eligible for refunds.

Account Suspension & Termination

Our Right to Terminate

We reserve the right, in our sole discretion, to suspend, restrict, or permanently terminate your account at any time, with or without prior notice, for any reason including:

• Violation of these Terms or our Acceptable Use Policy
• Conduct harmful to users, to us, or to third parties
• Requests by law enforcement, courts, or government authorities
• Fraudulent activity or unauthorized account access
• Technical or security emergencies
• Extended inactivity (more than 24 consecutive months)
• Our decision to discontinue or substantially modify the Service

Effect of Termination

• Your right to access the Service ceases immediately
• Your virtual balance, trading history, and portfolio data may be permanently deleted
• You have no right to recover virtual assets from a terminated account
• Provisions that by nature should survive termination shall survive, including: Intellectual Property, Disclaimers, Limitation of Liability, Arbitration, and Governing Law

Voluntary Account Deletion

You may request account deletion at any time by emailing support@marketanalyzerpro.com with subject "Delete My Account." Requests are processed within 30 days.

Force Majeure

MarketAnalyzer Pro shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control. Force majeure events include, without limitation:

• Acts of God, natural disasters, earthquakes, floods, fires, or severe weather
• Failures, outages, or disruptions of third-party services upon which the Service depends — including but not limited to Supabase, Finnhub, Twelve Data, Vercel, Brevo, and internet service providers
• Cyberattacks, DDoS attacks, ransomware, or other malicious acts by third parties
• Power outages or failures of internet backbone infrastructure
• Acts of government, war, civil unrest, terrorism, embargoes, or pandemics
• Changes in law or government orders that prevent or restrict the operation of the Service
• Financial market closures, exchange trading halts, or data provider blackouts
• Any other cause beyond our reasonable control

In the event of a force majeure, our obligations are suspended for the duration of the event. We will make commercially reasonable efforts to restore normal service as quickly as practicable. No refunds will be issued for service interruptions caused by force majeure events.

Disclaimers — No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

MARKETANALYZER PRO EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will meet your requirements or expectations
• Any warranty that the Service will be available, uninterrupted, timely, secure, or error-free
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of any market data, prices, analysis, AI signals, or other content
• Any warranty that defects or errors in the Service will be identified or corrected
• Any warranty that the Service or its servers are free from viruses, malware, or harmful components

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARKETANALYZER PRO AND ITS OWNERS, OPERATORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Loss of real-world profits, revenue, or investment returns
• Loss of data, virtual balances, or trading history
• Business interruption or lost business opportunity
• Damages resulting from reliance on inaccurate market data or AI-generated signals
• Damages resulting from unauthorized access to or alteration of your account
• Any real-world financial losses connected to use of or reliance on the Service

THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain liability exclusions. To the extent such laws apply to you, some of the above may not apply, and you may have additional rights.

Mandatory Arbitration & Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

Mandatory Binding Arbitration

PLEASE READ CAREFULLY — THIS AFFECTS YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for small claims court actions or emergency injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by final and binding arbitration, not in court.

Arbitration shall be:

• Administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms
• Conducted by a single neutral arbitrator
• Held in the State of Texas, or conducted remotely at the arbitrator's discretion
• Conducted in the English language
• Kept confidential — neither party may disclose the existence or results of any proceeding

Class Action Waiver

YOU AND MARKETANALYZER PRO EACH AGREE THAT ALL DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. You waive your right to participate in any class action lawsuit or class-wide arbitration. If this waiver is found unenforceable, the entire arbitration clause shall be null and void as to that dispute.

Informal Resolution First

Before initiating arbitration, contact us at legal@marketanalyzerpro.com and attempt to resolve the dispute in good faith. We have 30 days from receipt of written notice to resolve the issue before either party may proceed to arbitration.

Changes to These Terms

We reserve the right to modify any part of these Terms at any time, in our sole discretion. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send an email notification to all registered users via Brevo, our email delivery service
• Display a prominent notice within the Service the next time you log in

Changes take effect immediately upon posting unless a different effective date is specified. Your continued use of the Service after the effective date constitutes your binding acceptance of the revised Terms. If you do not agree, you must stop using the Service and may request account deletion.
